Representative matters include shareholder and partnership disputes, commercial contract disputes, construction claims, brokerage commission disputes, landlord/tenant matters, and employment contract litigation. Other contested matters may arise from debtor/creditor disputes, guaranties, note actions, insurance, professional liability, disciplinary proceedings, foreclosures and repossessions, as well as fraudulent conveyances, preference and lender liability litigation.


  • Employment Law. Counseling, negotiation, review and preparation of employment contracts and non-competition agreements involving business enterprises, professional practices and practice groups, and other organizations.


  • Franchising and Distribution. Counseling, negotiation, review, and preparation of franchise and distribution agreements and related documentation. Counseling, negotiation, review, and preparation of sale, purchase, equipment lease, financing and licensing agreements.


  • E-commerce and Technology. Representation and counseling dot-com start-ups and maturing Internet companies involved in creating, building and operating new media and web-based businesses. Counseling, negotiation, review and preparation of web development, hosting and other agreements with special emphasis on deliverables, scope of work and ownership issues. General counseling, negotiation, preparation and review of the evolving range of technology agreements, including advertising, consulting, employment, non-disclosure, trade secret and confidentiality, licensing, management, investment, funding and venture capital, strategic alliances, joint ventures and special partnering.


  • Bankruptcy and Creditors' Rights. Representation regarding all aspects of individual and business insolvencies, including bankruptcy liquidation and reorganization through chapters 7, 11 and 13 of the federal bankruptcy code. Representation ranges from straightforward to sophisticated and complex. Prosecution and defense of bankruptcy adversary proceeding cases. Prosecution and defense of interested parties in bankruptcy motion practice and contested litigation, including secured and unsecured creditors, debtors, chapter 11 trustees, official committees, landlords, competing plan proponents, promoters, equity interest holders, chapter 7 trustees and other parties in interest in reorganization and liquidation proceedings and the full range of the bankruptcy process, including involuntary proceedings. Representation concerning purchase of assets from bankruptcy estates.


  • IRS Problems. Assistance in dealing with the IRS and state and municipal taxing authorities, particularly concerning insolvency matters.
